Condiciones de servicio

Estos Términos de Servicio ("Términos") forman un acuerdo vinculante entre Prodia Systems Ltd, una sociedad anónima privada registrada en Irlanda (domicilio social: 27 Pembroke Street Upper, Dublín 2, D02 X361, Irlanda) ("Prodia", "nosotros", "nuestro") y la persona o entidad que accede o utiliza el Servicio ("Cliente", "usted").

1. El servicio

Prodia proporciona una plataforma autónoma de evolución de software que se conecta a repositorios de código fuente y propone, prueba y, cuando se autoriza, aplica mejoras ("Servicio"). El Servicio puede incluir pruebas gratuitas, suscripciones de pago, funciones beta y documentación de soporte.

2. Cuentas y elegibilidad

• Debe tener al menos 18 años y ser capaz de formalizar un contrato vinculante según la legislación irlandesa.
• Usted es responsable de la exactitud de la información de la cuenta y de la seguridad de sus credenciales.
• Usted es responsable de toda la actividad realizada bajo su cuenta.

3. Suscripciones, tarifas e impuestos

Los planes de pago se facturan por adelantado de forma recurrente. Las tarifas no incluyen el IVA y otros impuestos aplicables, que se añadirán cuando sea necesario. Excepto cuando lo exija la ley de consumo irlandesa o de la UE, las tarifas no son reembolsables. Podemos cambiar las tarifas con un preaviso mínimo de 30 días, con efecto a partir del siguiente período de renovación.

4. Datos y repositorios del cliente

Usted conserva todos los derechos sobre el código, el contenido y los datos que envíe ("Datos del Cliente"). Usted otorga a Prodia una licencia mundial y no exclusiva para alojar, copiar, transmitir, analizar y modificar los Datos del Cliente únicamente según sea necesario para proporcionar y mejorar el Servicio. Usted garantiza que tiene todos los derechos y autorizaciones necesarios para otorgar esta licencia y para permitir que Prodia actúe en los repositorios conectados.

5. Salida generada por IA

El Servicio utiliza sistemas de aprendizaje automático para generar cambios de código, análisis y sugerencias ("Salida"). La Salida se proporciona "tal cual". Usted es el único responsable de revisar, probar y decidir si fusiona o implementa cualquier Salida. Prodia no garantiza que la Salida sea precisa, completa, segura o que no infrinja derechos.

6. Uso aceptable

El uso que usted haga del Servicio está sujeto a nuestra Política de uso aceptable, que se incorpora a estos Términos mediante referencia.

7. Propiedad intelectual

Prodia and its licensors retain all right, title and interest in the Service, including all software, models, documentation and trademarks. No rights are granted by implication or estoppel.

8. Confidentiality

Each party will protect the other's non-public information disclosed under these Terms with at least the same degree of care it uses for its own confidential information and not less than a reasonable standard of care.

9. Warranties and disclaimers

Except as expressly set out in these Terms, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose and non-infringement, to the maximum extent permitted by Irish law.

10. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or business opportunities. Each party's aggregate liability under these Terms will not exceed the fees paid or payable by Customer to Prodia in the twelve months preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under Irish law.

11. Indemnity

Customer will defend and indemnify Prodia against third-party claims arising from Customer Data, your breach of these Terms or your unlawful use of the Service.

12. Term and termination

These Terms apply from the date you first access the Service until terminated. Either party may terminate for the other's material breach not cured within 30 days of notice. We may suspend or terminate immediately for breach of the Acceptable Use Policy or where required by law.

13. Changes to the Service or Terms

We may update these Terms from time to time. Material changes will be notified at least 30 days in advance via the Service or by email. Continued use after the effective date constitutes acceptance.

14. Governing law and jurisdiction

These Terms are governed by the laws of Ireland. The parties submit to the exclusive jurisdiction of the courts of Ireland, without prejudice to mandatory consumer-protection rights in your country of residence.
