Terms of Service
These Terms of Service ("Terms") form a binding agreement between Prodia Systems Ltd, a private company limited by shares registered in Ireland (company registered office: 27 Pembroke Street Upper, Dublin 2, D02 X361, Ireland) ("Prodia", "we", "us") and the person or entity that accesses or uses the Service ("Customer", "you").
1. The Service
Prodia provides an autonomous software evolution platform that connects to source code repositories and proposes, tests and where authorised applies improvements ("Service"). The Service may include free trials, paid subscriptions, beta features and supporting documentation.
2. Accounts and eligibility
- You must be at least 18 years old and able to form a binding contract under Irish law.
- You are responsible for the accuracy of account information and for the security of your credentials.
- You are responsible for all activity carried out under your account.
3. Subscriptions, fees and taxes
Paid plans are billed in advance on a recurring basis. Fees are exclusive of VAT and other applicable taxes, which will be added where required. Except where required by Irish or EU consumer law, fees are non-refundable. We may change fees on at least 30 days' notice effective from the next renewal term.
4. Customer data and repositories
You retain all rights in code, content and data you submit ("Customer Data"). You grant Prodia a worldwide, non-exclusive licence to host, copy, transmit, analyse and modify Customer Data solely as needed to provide and improve the Service. You warrant that you have all rights and authorisations required to grant this licence and to permit Prodia to act on the connected repositories.
5. AI-generated output
The Service uses machine-learning systems to generate code changes, analyses and suggestions ("Output"). Output is provided on an "as is" basis. You are solely responsible for reviewing, testing and deciding whether to merge or deploy any Output. Prodia does not warrant that Output is accurate, complete, secure or non-infringing.
6. Acceptable use
Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference.
7. Intellectual property
Prodia and its licensors retain all right, title and interest in the Service, including all software, models, documentation and trademarks. No rights are granted by implication or estoppel.
8. Confidentiality
Each party will protect the other's non-public information disclosed under these Terms with at least the same degree of care it uses for its own confidential information and not less than a reasonable standard of care.
9. Warranties and disclaimers
Except as expressly set out in these Terms, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose and non-infringement, to the maximum extent permitted by Irish law.
10. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or business opportunities. Each party's aggregate liability under these Terms will not exceed the fees paid or payable by Customer to Prodia in the twelve months preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under Irish law.
11. Indemnity
Customer will defend and indemnify Prodia against third-party claims arising from Customer Data, your breach of these Terms or your unlawful use of the Service.
12. Term and termination
These Terms apply from the date you first access the Service until terminated. Either party may terminate for the other's material breach not cured within 30 days of notice. We may suspend or terminate immediately for breach of the Acceptable Use Policy or where required by law.
13. Changes to the Service or Terms
We may update these Terms from time to time. Material changes will be notified at least 30 days in advance via the Service or by email. Continued use after the effective date constitutes acceptance.
14. Governing law and jurisdiction
These Terms are governed by the laws of Ireland. The parties submit to the exclusive jurisdiction of the courts of Ireland, without prejudice to mandatory consumer-protection rights in your country of residence.
